ZiaCode provides:
- Subscription-based software-as-a-service (SaaS) platforms
- WordPress plugins and software solutions
- Software licenses and activation services
- Technical support for licensed products
- Software updates and maintenance
3. Software Licensing
License Grant
Upon purchase, you are granted a non-exclusive, non-transferable license to use our software according to the license terms:
- Single domain licenses are valid for one production website
- Multi-domain licenses are valid for the specified number of websites
- Development and staging sites are permitted without counting against your domain limit
- License keys must not be shared or redistributed
License Restrictions
You may NOT:
- Redistribute, resell, or share the software or license keys
- Modify and redistribute the software as your own
- Use the software for illegal or harmful purposes
- Reverse engineer or attempt to extract source code
- Remove copyright notices or attribution
4. Purchases and Payment
- All prices are in USD unless otherwise specified
- Payments are processed securely through our PCI-compliant third-party payment processors
- Prices are subject to change with notice
- Purchases are final subject to our refund policy
Subscriptions and Recurring Billing
Some products and platforms are offered as recurring subscriptions. By starting a subscription, you agree that:
- Subscription plans are billed on a recurring basis (monthly or annually) in USD
- Your subscription automatically renews at the end of each billing period at the then-current rate until you cancel
- You authorize ZiaCode and our payment processor to charge your payment method for each renewal until you cancel
- You may cancel at any time from your account or by emailing [email protected]; cancellation stops future renewals and your access continues until the end of the current paid period
- We will notify you in advance of any change to your subscription price

- Creating backups before installing or updating
- Complying with all applicable laws and regulations

10. Disclaimer of Warranties
OUR SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
IN NO EVENT SHALL ZIACODE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability shall not exceed the amount you paid for the product in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold ZiaCode harmless from any claims, losses, liabilities, damages, costs, and expenses arising from your use of our software or violation of these terms.
13. Termination
We reserve the right to terminate or suspend your license and access to our services for:
- Violation of these terms
- Fraudulent or illegal activity
- Non-payment or chargebacks
- Distribution of license keys or software
14. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes arising from these terms shall first be attempted to be resolved through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration.

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
17. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
